Nourish South Co-op Rules & Governance
1. Name & Purpose
1.1 Name
The cooperative shall be known as Nourish South Co-op.
1.2 Purpose
The purpose of the Co-op is to create a sustainable, community-owned food system by providing high-quality, locally sourced dairy, meat, produce, and pantry staples to members while ensuring financial stability and environmental responsibility.
2. Membership
2.1 Eligibility
Membership is open to individuals, families, and businesses who support the objectives of Nourish South Co-op.
Members must commit to the Co-op’s values of sustainability, ethical food production, and cooperative ownership.
2.2 Membership Types
Full Buy-In Members ($10,000 one-time investment)
Full voting rights.
Eligible for annual dividends.
15% discount on Co-op products.
Exclusive early access to specialty products.
Payment Plan Members ($2,000 down, remaining over 24-36 months)
No voting rights until full amount is paid.
No dividends until fully paid.
5% discount on Co-op products.
2.3 Rights & Responsibilities
Members must abide by all Co-op rules and contribute to its sustainability and success.
Members must actively support Co-op initiatives and participate in member meetings when applicable.
2.4 Membership Termination
Members may voluntarily withdraw with a minimum commitment of 12 months, after which a 90-day notice period applies.
Membership may be revoked for violation of Co-op rules, non-payment, or misconduct.
Upon termination, shares may be transferred or refunded based on Co-op policies.
3. Governance & Decision-Making
3.1 Board of Directors
The Co-op shall be governed by a Board of Directors, elected by full buy-in members.
The Board shall oversee financial management, strategic planning, and policy implementation.
3.2 Voting Rights
Only fully paid members have voting rights on major Co-op decisions.
Voting shall be conducted through annual general meetings (AGMs) or special meetings.
Major decisions require a two-thirds majority vote.
3.3 Member Meetings
The Co-op shall hold at least one AGM per year.
Members will receive financial updates, operational reports, and have opportunities to raise concerns or suggest initiatives.
4. Financial Structure & Dividend Payments
4.1 Funding Model
The Co-op is funded through member buy-ins, operational profits, and external investments.
A portion of annual revenue will be reinvested into infrastructure, sustainability initiatives, and expansion.
4.2 Dividend Distribution
Only fully paid members are eligible for dividends.
Dividend payments will be based on Co-op profitability and Board approval.
Members may choose to reinvest dividends into additional shares or receive a cash payout.
4.3 Financial Transparency
The Co-op shall maintain transparent financial records, accessible to all members.
Annual financial reports will be presented at AGMs.
5. Operations & Product Distribution
5.1 Food Supply & Logistics
Members will have access to weekly food boxes as part of their membership benefits.
The Co-op will establish local pickup points and home delivery options.
Additional farm products will be available for purchase through the Co-op’s online store.
5.2 Group Buying & Bulk Discounts
The Co-op may facilitate bulk purchases of household essentials (fuel, electricity, etc.) for members.
Members can participate in group buying opportunities to access discounts on major purchases.
5.3 Sustainability & Ethical Practices
The Co-op shall prioritize environmentally friendly farming, waste reduction, and renewable energy use.
Animal welfare and ethical sourcing shall be core operational values.
6. Amendments & Compliance
6.1 Rule Amendments
These rules may be amended by a majority vote of full buy-in members at an AGM.
Members will be given 30 days’ notice before a vote on amendments.
6.2 Compliance & Dispute Resolution
Members must comply with all Co-op policies and legal regulations.
Disputes shall be resolved through internal mediation, and if necessary, arbitration or legal means.
